1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and EscrowEye LLC, a California limited liability company ("EscrowEye," "we," "us," or "our"), governing your access to and use of the EscrowEye platform, including our website at escroweye.com and all related services (collectively, the "Service").
By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Service.
2. Description of Service
EscrowEye provides a real estate transaction management platform featuring dynamic checklists and automated file review capabilities. The Service is designed to assist real estate professionals in managing transaction documentation and compliance requirements.
The Service is currently available to real estate professionals operating in California.
3. Account Registration
To access the Service, you must create an account. You agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Maintain the security of your password and account
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
4. Subscription Plans and Pricing
EscrowEye offers the following subscription plans:
All subscriptions are billed monthly. Transaction limits reset at the beginning of each billing cycle.
5. Payment Terms
By subscribing to the Service, you authorize us to charge your designated payment method on a recurring monthly basis. All fees are non-refundable except as expressly set forth in these Terms or as required by applicable law.
We reserve the right to modify our pricing with 30 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
6. Cancellation Policy
30-Day Notice Required: To cancel your subscription, you must provide written notice at least 30 days before your next billing date. Cancellation requests can be submitted via email to [email protected] or through your account settings.
Upon cancellation:
- Your access will continue until the end of your current billing period
- No refunds will be issued for partial months
- You may export your data before your access ends
7. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable laws
- Upload or transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to any part of the Service
- Interfere with or disrupt the integrity or performance of the Service
- Share your account credentials with third parties
- Use the Service to store or transmit content that infringes on intellectual property rights
- Reverse engineer, decompile, or disassemble any aspect of the Service
8. Data and Privacy

YOU ACKNOWLEDGE AND AGREE THAT:
- EscrowEye is a tool designed to assist real estate professionals, NOT a replacement for professional judgment, expertise, or due diligence
- The automated file review and checklist features may contain errors, omissions, or inaccuracies
- You are solely responsible for independently verifying all information, documents, dates, signatures, and compliance requirements
- You must not rely exclusively on EscrowEye's output for any transaction decisions
- As a licensed real estate professional, you bear full responsibility for ensuring compliance with all applicable laws, regulations, and professional standards
- EscrowEye does not guarantee the accuracy, completeness, or reliability of any analysis, checklist, or recommendation
BY USING THIS SERVICE, YOU EXPRESSLY ACKNOWLEDGE THAT YOU ARE A LICENSED REAL ESTATE PROFESSIONAL WHO UNDERSTANDS AND ACCEPTS FULL RESPONSIBILITY FOR VERIFYING ALL INFORMATION AND MAKING ALL FINAL DETERMINATIONS REGARDING YOUR TRANSACTIONS.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
EscrowEye does not warrant that the Service will be uninterrupted, error-free, or completely secure. THE SERVICE IS A TOOL TO ASSIST WITH TRANSACTION MANAGEMENT AND DOES NOT CONSTITUTE LEGAL, FINANCIAL, OR PROFESSIONAL ADVICE. ALL AUTOMATED ANALYSES, CHECKLISTS, AND RECOMMENDATIONS MAY CONTAIN ERRORS AND MUST BE INDEPENDENTLY VERIFIED BY THE USER.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESCROWEYE LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business opportunities
- Errors or inaccuracies in document analysis or checklists
- Missed deadlines, compliance failures, or transaction issues
- Decisions made based on information provided by the Service
- Any damages arising from your reliance on the Service
YOU EXPRESSLY AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS PRECEDING THE CLAIM.
13. Indemnification
You agree to indemnify, defend, and hold harmless EscrowEye LLC, its officers, directors, employees, and agents from any and all claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service
- Your failure to independently verify information provided by the Service
- Your reliance on automated analyses, checklists, or recommendations
- Any transaction decisions you make
- Your violation of these Terms
- Your violation of any applicable laws or regulations
- Any claims by your clients or third parties related to your use of the Service
14. Modifications to Terms
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last updated" date. Your continued use of the Service after such changes constitutes acceptance of the modified Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in San Francisco County, California.
